Terms of Service

These Terms of Service (“Terms”) govern your use of the services provided by ScaleSync Solutions (“ScaleSync,” “we,” “our,” or “us”). By engaging our services or signing a service agreement, you agree to these Terms.

1. Services

ScaleSync provides AI-powered business automation services including AI voice receptionist, missed-call text-back, appointment booking, lead follow-up, review generation, and related services as described in your selected plan. Service features and inclusions are subject to the plan you have purchased.

2. Setup Fees & Monthly Fees

A one-time setup fee is due prior to or at the time of onboarding. This fee covers system configuration, voice scripting, integration setup, and testing. Setup fees are non-refundable once work has commenced. Monthly service fees are billed in advance on a recurring basis. Failure to pay may result in suspension of services.

3. AI Voice Minutes

Each plan includes a specified number of AI voice minutes per month. Voice minutes are consumed when your AI receptionist is on an active call. Minutes reset at the start of each billing cycle and do not roll over. If you exceed your included minutes, overage charges apply at the rate specified for your plan. ScaleSync will make reasonable efforts to notify you when you approach your monthly limit.

4. Cancellation Policy

You may cancel your monthly subscription at any time with 30 days’ written notice. Cancellations take effect at the end of the current billing period. No partial-month refunds are issued. Setup fees are non-refundable. To cancel, contact us by phone or email.

5. Client Responsibilities

You are responsible for: providing accurate business information for system configuration; ensuring compliance with applicable call recording laws in your jurisdiction; obtaining any required consents from your customers; maintaining accurate calendar and CRM data; and promptly notifying ScaleSync of changes to your business information, phone numbers, or service requirements.

6. Acceptable Use

You may not use ScaleSync services for any unlawful purpose, to harass or deceive consumers, to violate TCPA or other telemarketing regulations, or to engage in spam or unsolicited communications. ScaleSync reserves the right to suspend or terminate services for violations of this section without refund.

7. Service Availability

ScaleSync targets 99% uptime for AI voice services but does not guarantee uninterrupted availability. Scheduled maintenance, third-party outages, or force majeure events may cause temporary interruptions. ScaleSync is not liable for losses resulting from service interruptions beyond our reasonable control.

8. Limitation of Liability

To the maximum extent permitted by law, ScaleSync’s total liability for any claim arising from or related to our services shall not exceed the total fees paid by you in the three months preceding the claim. ScaleSync is not liable for indirect, incidental, consequential, or punitive damages.

9. Intellectual Property

ScaleSync retains ownership of all AI systems, workflows, scripts, and platform configurations we create. You retain ownership of your business data, customer data, and content you provide to us. Upon termination, we will provide you with an export of your customer data upon request within 30 days.

10. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

11. Changes to Terms

ScaleSync reserves the right to update these Terms at any time. We will notify active clients of material changes by email with at least 14 days’ notice. Continued use of services after the effective date constitutes acceptance.
